Description

Ciaobooking is a CLOUD technology, created for the "hospitality" sector based on innovative software that makes available a hybrid PMS (PROPERTY MANAGEMENT SYSTEM), able to offer business intelligence tools specifically designed to reduce dependence on high commission sales channels and develop "smart sales strategies" based on data analysis. It is a system for the total and integrated management of any asset, integrated and integrable to any software platform thanks to innovative APIs, both web and mobile.

CATEGORY "A" OR "ORDINARY" UNITS

Category "A" or "ordinary" units have the following characteristics:

a) they are subject to the approval and pre-emption rights referred to in Article 10;

b) they grant the right of pre-emption referred to in Article 10;

c) they attribute the right to vote in shareholders' meeting resolutions.

 

CATEGORY "B" SHARES 

Category "B" capital shares have the following characteristics:

a) they are not subject to the approval and pre-emption rights referred to in Article 10;

b) they do not grant the right of pre-emption referred to in Article 10;

c) they do not have voting rights.

 

The company has a pre-money valuation of Euro 4 million. Crowe Bompani Spa - a consulting and auditing firm belonging to the Crowe Global international network - has drawn up a fairness opinion confirming the validity of this enterprise value. 

Business model

The business model envisages pricing for the "hospitality" sector differentiated in terms of the number of units, on the basis of functions that are opened in the software platform.  For more advanced operators, CIAOBOOKING offers a REVENUE MANAGEMENT service, with which it manages the entire commercial phase on a turnkey basis. In these cases, the commission requested is collected on the turnover achieved each month.  The use of big data and business intelligence allows CIAOBOOKING to obtain increases in revenues for the structures of up to 80%.

Strategy

The reference market (HOSPITALITY) amounts to approximately 26 billion in turnover, in a technological context strongly oriented towards technologies for mobile and wireless devices (smartphones, tablets, laptops, etc.) and based on operators and online intermediaries (booking, airbnb, etc.), known as OTAs (Online Travel Agency), which are strongly present in the markets. CIAOBOOKING is a hybrid tool that integrates the functions of OTAs, making their use efficient and maximising hospitality management. CIAOBOOKING aims to become a boost for every possible use of online channels accessible to any operator.

 

The marketing strategy and related investments aim to achieve a brand perception suitable for all operators, with an essential market message: CIAOBOOKING is a technological tool typical of large companies that is also available to small operators. The APIs designed are innovative and allow integration with any type of platform
